Terms & Conditions
STANDARD TERMS AND CONDITIONS
FOR THE PROVISON OF BUSINESS SERVICES

In this document the following words shall have the following meanings:
1.1 “Buyer” means the organisation or person who buys the Service from the Seller;
1.2 “Service” means the rental of a monthly silk flower arrangement chosen by the Seller delivered to the premises of the Buyer. Also the provision of a monthly 30 ml Fragrance from the Sellers “In Plant Fragrances” collection and two “In plant “ capsules and reeds.
1.3 “Intellectual Property Rights” means all patents, registered and unregistered designs, copyright, trade marks, know-how and all other forms of intellectual property wherever in the world enforceable;
1.4 “List Price” means the list of prices of the Goods maintained by the Seller as amended from time to time;
1.5 “Seller” means Coco Eden Limited of Conniemead House, Woking, Surrey, GU21 5TD.
2.1 These Terms and Conditions are an addendum to the Sellers “Sale of Goods” Terms and conditions.
3 PRICE AND PAYMENT
3.1 The price shall be the price agreed in writing by both parties prior to the start of the 12 month Term and is not currently subject to VAT. Standard
Carriage charges would be applicable for all premises residing outside a 5 miles radius from Woking town centre.
3.2 Full Payment of the price shown and any other applicable costs shall be made within 30 days of the Suppliers Invoice date.
3.3 In certain circumstance the Seller may agree a credit limit with the Buyer, where by the Seller shall be entitled to charge interest on overdue invoices from the date when payment becomes due from day to day until the date of payment, at a rate of 2% per annum above the base rate of the Bank of England at the time of invoice.
3.4 If payment of the price or any part thereof is not made by the due date, the Seller has the right to remove the Rental Flower Arrangement from the Buyers location
3.4.1 Refuse to make delivery of any undelivered Service whether ordered under the contract or not and without incurring any liability whatever to the Buyer for non-delivery or any delay in delivery;
3.4.2 terminate the contract.
4 BUYERS RIGHTS
4.1 The Buyer may request, within reason, a replacement arrangement at any time during the term if they are unsatisfied with the arrangement that has been left.
4.2 The Buyer may move or place the arrangement to an alternative location but this must be agreed with the Seller in advance.
5. SELLERS RIGHTS
5.1 The Seller will provide their chosen Silk Flower arrangement and In Plant Fragrance for each month of the 12 month term.
5.2 The Seller will agree in writing the preferred monthly date, with the Buyer, to replace the Silk Flower arrangement and In Plant Fragrance, but is not bound by this date, but agree its best endeavours.
5.3 The Seller will ensure all Silk Flower Arrangements are supplied in pristine condition and will obtain a Buyers quality signature on receipt. Should any damage be caused that limits the Silk Flower Arrangements ability to be reused on collection, then a fee will be raised for the replacement of the materials only and not the full retail price of the silk flower arrangement shown on the Sellers website.
5.4 The Seller is not liable for death, injury or consequential loss suffered at the premises of the Buyer due to unforeseen circumstances.
5.5 The Seller will provide the Buyer a chemical hazard sheet and refill methodology for each fragrance product it supplies to the Buyer. The Buyer is responsible for ensuring personnel are aware of the risks.
